2. Service Description

CodeSparkle provides lead generation and online advertising services through various digital marketing channels including Google Ads, Facebook Ads, and LinkedIn Ads. Our services are designed to help businesses acquire qualified leads and customers through targeted advertising campaigns.

3. Lead Generation Services

3.1 Lead Qualification

  • All leads provided meet our qualification standards including verified contact information, budget confirmation, and genuine interest in your services
  • Lead pricing varies by advertising channel: Google Ads ($40/lead), Facebook Ads ($50/lead), LinkedIn Ads ($60/lead)
  • Leads are delivered in real-time through our platform dashboard and email notifications

3.2 Campaign Management

  • We manage all aspects of your advertising campaigns including setup, optimization, and performance monitoring
  • Campaign budgets are managed according to your specified monthly limits and lead volume requirements
  • Performance reports are provided monthly with detailed analytics and optimization recommendations

4. Payment Terms

4.1 Pricing Structure

  • Payment is required per qualified lead delivered, with pricing based on the advertising channel used
  • Monthly invoicing with net 30-day payment terms for approved business accounts
  • Setup fees may apply for complex campaign configurations or custom integrations

4.2 Refund Policy

  • Refunds are provided for leads that do not meet our qualification standards upon verification
  • Refund requests must be submitted within 7 days of lead delivery with supporting documentation
  • Replacement leads may be provided in lieu of refunds at our discretion

5. Client Responsibilities

5.1 Information Accuracy

  • Clients must provide accurate business information, target audience details, and campaign objectives
  • Any changes to business information or campaign requirements must be communicated promptly
  • Clients are responsible for compliance with all applicable laws and regulations in their industry

5.2 Lead Follow-up

  • Clients are responsible for timely follow-up with provided leads (recommended within 24 hours)
  • Professional and courteous communication with leads is required to maintain platform reputation
  • Clients must respect lead preferences regarding communication frequency and methods

6. Prohibited Uses

  • Using our services for illegal, fraudulent, or deceptive business practices
  • Promoting products or services that violate advertising platform policies
  • Sharing or reselling leads to third parties without explicit written consent
  • Attempting to reverse-engineer or replicate our lead generation methodologies
  • Using automated systems to spam or harass provided leads

7. Data Protection and Privacy

7.1 Data Handling

  • All lead data is collected and processed in compliance with applicable privacy laws
  • Client data and campaign information are kept confidential and secure
  • Data retention policies are outlined in our Privacy Policy

7.2 Third-Party Platforms

  • Our services integrate with third-party advertising platforms subject to their respective terms of service
  • Clients acknowledge that platform policy changes may affect campaign performance
  • We are not responsible for third-party platform outages or policy violations

8. Limitation of Liability

CodeSparkle's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages including lost profits, business interruption, or data loss. Our services are provided "as is" without warranties of any kind.

9. Termination

9.1 Termination by Client

  • Clients may terminate services with 30 days written notice
  • Outstanding invoices remain due upon termination
  • Campaign data and reports remain accessible for 90 days post-termination

9.2 Termination by CodeSparkle

  • We reserve the right to terminate services for violation of these terms
  • Immediate termination may occur for fraudulent or illegal activities
  • Refunds for prepaid services may be provided at our discretion

10. Modifications to Terms

CodeSparkle reserves the right to modify these terms at any time. Changes will be communicated via email and posted on our website. Continued use of our services after changes constitutes acceptance of the modified terms.

11. Governing Law

These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in Eagle Pass, Texas, or through the courts of Maverick County, Texas.
